TERMS OF USE FOR THE FLOCK COMMUNITY

1. ACCEPTANCE OF TERMS
By downloading, installing, or using The Flock Community (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, including the mandatory arbitration and class action waiver provisions, you may not use the App.
These Terms constitute a legally binding agreement between you and Grex Labs LLC ("we," "us," or "our").
IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING WAIVER OF LIABILITY AND ASSUMPTION OF RISK REGARDING TRAVEL, PHYSICAL ACTIVITIES, AND OFFLINE MEETUPS. PLEASE READ SECTIONS 5 AND 6 CAREFULLY.
2. ELIGIBILITY
The App is intended solely for users who are 18 years of age or older. By using the App, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you do not meet these requirements, you must not access or use the App.
3. NATURE OF THE SERVICE (NOT A TRAVEL AGENCY)
The Flock Community is an information and social networking platform only. We do not own, operate, manage, or control any independent travel suppliers, hotels, tour operators, transportation companies, or other third-party services. We are not a travel agency and do not provide travel services. Any information provided in the App is for educational and social purposes only.
4. THIRD-PARTY BOOKINGS & DISCOUNTS
The App may provide links to third-party websites, suggestions for hotels/tours, or exclusive discount codes.
No Endorsement or Guarantee: We provide these suggestions and discounts for informational purposes. We do not verify or guarantee the existence, quality, safety, legitimacy, or accuracy of any hotel, tour, listing, or service.
Contract with Vendors: If you book a hotel, tour, or service based on our suggestion, you are entering into a contract directly with that third-party vendor, not with us.
Release of Liability: We are not responsible or liable for:
- "Fake" listings, overbooking, or substandard conditions of hotels or tours.
- Cancellations, delays, or changes made by tour operators or airlines.
- Any financial loss, injury, or damage associated with third-party bookings.
5. MANDATORY TRAVEL INSURANCE
Condition of Use: By joining The Flock Community and participating in any suggested travel itineraries, you acknowledge and agree that it is your sole responsibility to obtain and maintain comprehensive travel insurance.
Your insurance must cover trip cancellation, medical expenses (including evacuation), loss of personal items, and personal liability.
The Flock Community does not verify insurance status but operates under the specific agreement that all traveling members are adequately insured. We accept no liability for costs incurred that would have been covered by insurance.
6. ASSUMPTION OF RISK & TRAVEL DISCLAIMERS
Travel involves inherent risks. By using this App to plan travel or meet other members, you voluntarily assume all risks, known and unknown.
Visa & Entry Requirements: It is solely your responsibility to ensure you possess all necessary travel documents, including passports, visas, and health certificates (e.g., vaccinations) for any destination. We are not responsible if you are denied entry, detained, or denied boarding.
Medical Fitness: Activities suggested in the App (e.g., hiking, swimming, tours) may require varying levels of physical fitness. You agree to consult with a medical professional before participating. You assume all risks of injury, illness (including tropical diseases), or death associated with these activities.
General Travel Risk: You acknowledge risks including, but not limited to, theft, assault, political instability, civil unrest, and lack of access to medical facilities.
RELEASE OF LIABILITY: To the fullest extent permitted by law, you hereby release and hold harmless Grex Labs LLC, its officers, directors, employees, and agents from any and all liability, claims, demands, or causes of action arising out of or related to any loss, damage, injury, or death that may be sustained by you while using the App or traveling to destinations discussed on the App.
7. USER INTERACTIONS, SAFETY & OFFLINE MEETUPS
The Flock Community facilitates digital connections that may lead to in-person meetings.
Your Responsibility: You are solely responsible for your interactions with other members. We do not conduct criminal background checks or screenings on our users.
Civil Disputes: We are not responsible for resolving civil disputes, fights, interpersonal arguments, or financial disagreements (e.g., bill splitting) between members.
Peer-to-Peer Financial Scams: The Flock Community is not a financial intermediary. We are not responsible for money exchanged between users (e.g., Venmo, PayPal, cash loans). You are strictly warned never to transfer money to members you do not know and trust.
Safety: You agree to take necessary precautions in all interactions with other members, especially if you decide to meet offline or travel together.
8. PROHIBITED CONDUCT & COMMUNITY GUIDELINES
To ensure a safe environment, you agree NOT to use the App to:
- Post content that is unlawful, harassing, defamatory, abusive, threatening, or obscene.
- Post content containing hate speech, nudity, pornography, or graphic violence.
- Engage in Commercial Solicitation: You may not use the App to spam users or promote Multi-Level Marketing (MLM) schemes, Ponzi schemes, or unrelated business ventures.
- Impersonate any person or entity or falsely state your affiliation with a person or entity.
9. USER GENERATED CONTENT & MODERATION (ZERO TOLERANCE)
We have a zero-tolerance policy regarding objectionable content and abusive users.
Content Rights: You retain ownership of content you post but grant us a license to use it within the App.
Moderation: We reserve the right, but not the obligation, to monitor and remove any content that violates these Terms at our sole discretion and without notice.
Reporting: Users can report objectionable content or abusive users directly within the App. We review reports within 24 hours.
Blocking: Users have the ability to block other users to prevent communication.
Termination: Any user found posting objectionable content or engaging in harassment will have their account terminated and access to the App revoked.
10. INTELLECTUAL PROPERTY
The App and its original content (excluding User Content provided by users), features, and functionality are and will remain the exclusive property of Grex Labs LLC and its licensors. You may not use our trademarks, logo, or branding to represent yourself as an official guide or agent of The Flock Community without written permission.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Grex Labs LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
THIS LIMITATION APPLIES TO ANY PERSONAL INJURY OR DEATH RESULTING FROM TRAVEL, OFFLINE MEETUPS, OR ACTIVITY SUGGESTED BY THE APP.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Grex Labs LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the App;
- Your violation of any term of these Terms;
- Any incident, accident, injury, or liability occurring during your travels or offline meetups.
13. GOVERNING LAW
These Terms shall be governed and construed in accordance with the laws of United States of America, Florida, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14. CHANGES TO TERMS
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of significant changes. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.
